1. Agreement to Terms

By accessing or using the website jfreemanandson.co ("the Site") or engaging the services of Jonathan Freeman dba J. Freeman & Son ("the Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or engage our services.

These Terms apply to all visitors, clients, and others who access or use the Site.

2. Services

J. Freeman & Son, provides brand strategy, creative direction, website design and development, advertising and campaign creative, AI integration consulting, and related marketing services (collectively, "Services").

The specific scope, deliverables, timeline, and investment for any engagement are defined in a separate Client Agreement or Statement of Work executed between J. Freeman & Son, LLC and the client. In the event of any conflict between these Terms and a signed Client Agreement, the Client Agreement shall govern.

3. Intellectual Property

3a. Our Property

All content on this Site — including but not limited to text, graphics, logos, images, audio and video clips, the Intent-Based Branding™ methodology, the Essence Extraction Process, and all other materials — is the property of J. Freeman & Son, or its content suppliers and is protected by applicable intellectual property laws.

The marks J. Freeman & Son™, is a trademark of J. Freeman & Son,  Unauthorized use is strictly prohibited.

3b. Client Work Product

Ownership of deliverables created for clients — including logos, brand systems, websites, and creative assets — transfers to the client upon receipt of final payment in full, as specified in the applicable Client Agreement. Until final payment is received, all work product remains the exclusive property of J. Freeman & Son.

3c. Portfolio Rights

J. Freeman & Son retains the right to display completed client work in its portfolio, case studies, and promotional materials unless otherwise agreed in writing.

4. Client Responsibilities

Clients engaging our Services agree to:

— Provide accurate, complete, and timely information required for project completion

— Review and provide feedback within agreed timelines

— Obtain necessary rights, licenses, and permissions for any content, images, or materials provided to J. Freeman & Son for use in deliverables

— Make payments according to the schedule specified in the applicable Client Agreement

J. Freeman & Son shall not be held liable for delays or deficiencies caused by the client's failure to meet these responsibilities.

5. Payment Terms

Payment terms are specified in each Client Agreement. General terms include:

— Projects require a deposit before work commences

— Remaining balances are due per the schedule outlined in the Client Agreement

— Late payments may result in project suspension until the outstanding balance is resolved

— All fees are non-refundable except as explicitly stated in the Client Agreement

 

6. Revision Policy

Revision rounds are specified in each Client Agreement. Work requested beyond the agreed revision scope will be quoted and billed separately at the current hourly rate.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the course of an engagement. This includes but is not limited to business strategies, financial information, and proprietary processes. This obligation survives the termination of any engagement.

8. Limitation of Liability

To the fullest extent permitted by law, J. Freeman & Son shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, or business opportunities — arising from your use of the Site or our Services, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from our Services shall not exceed the total fees paid by the client for the specific project giving rise to the claim.

9. No Guarantee of Results

J. Freeman & Son makes no guarantee of specific business outcomes, revenue increases, search engine rankings, or marketing results. While we are committed to delivering exceptional work, business results depend on factors outside our control including market conditions, client execution, and third-party platforms.

10. Third-Party Platforms

Our Services frequently involve third-party platforms including Wix, social media networks, and other digital tools. We are not responsible for changes, outages, policy updates, or discontinuation of any third-party platform that may affect deliverables or ongoing services.

11. Termination

Either party may terminate an engagement with written notice as specified in the applicable Client Agreement. In the event of termination:

— The client is responsible for payment of all work completed to date

— J. Freeman & Son will deliver all completed work product upon receipt of outstanding payment

— Deposits and advance payments are non-refundable unless otherwise specified in the Client Agreement

 

12. Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law provisions.

Any legal action arising from these Terms shall be brought exclusively in the courts located in Chambers County, Alabama.

13. Dispute Resolution

Before initiating any legal action, both parties agree to make a good-faith effort to resolve disputes through direct negotiation. If direct negotiation fails, the parties agree to attempt mediation before pursuing litigation.

 

14. Privacy

Your use of the Site is also governed by our Privacy Policy, available at jfreemanandson.co/privacy. By using the Site, you consent to the practices described therein.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted to this page with an updated effective date. Your continued use of the Site or our Services after any changes constitutes your acceptance of the revised Terms.
